1. Acceptance of Terms
By accessing or using Habla AI (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not access or use the Service.
These Terms constitute a legally binding agreement between you and recode LLC ("recode", "we", "us", or "our").
2. Description of Service
Habla AI is an AI-powered Spanish language learning platform that provides personalized tutoring through live voice conversations, placement assessments, and structured lessons. The Service uses large language models, speech recognition, and text-to-speech technology to deliver interactive learning experiences.
The Service is intended as a supplementary language learning tool. We do not guarantee specific learning outcomes or language proficiency gains.
3. Eligibility and Account Registration
You must be at least 13 years of age to use the Service. By creating an account, you represent that you are at least 13 years old.
You agree to:
- Provide accurate, current, and complete information during registration
- Keep your account credentials confidential and not share them with others
- Notify us promptly if you suspect unauthorized access to your account
- Be solely responsible for all activity that occurs under your account
We reserve the right to refuse registration or cancel accounts at our discretion.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Impersonate any person or entity, or provide false information
- Transmit harmful, abusive, harassing, threatening, obscene, or otherwise objectionable content
- Attempt to reverse-engineer, decompile, or extract source code from any part of the Service
- Use automated tools, bots, scrapers, or scripts to access or interact with the Service
- Interfere with or disrupt the integrity, performance, or availability of the Service
- Attempt to gain unauthorized access to any part of the Service or its underlying infrastructure
- Use the Service for commercial purposes without our express written consent
We reserve the right to investigate and take appropriate action against violations of this section, including suspending or terminating your account.
5. AI-Generated Content
The Service uses artificial intelligence to generate tutoring responses, assessments, feedback, and audio. You acknowledge and agree that:
- AI responses may occasionally be inaccurate, incomplete, or contextually inappropriate
- The Service is a learning aid and is not a substitute for instruction from a qualified language teacher
- We do not guarantee the accuracy of proficiency scores or placement assessments
- You should not rely solely on the Service for high-stakes language requirements (e.g. professional certification, academic placement)
6. Subscriptions and Billing
Certain features of the Service may require a paid subscription. When purchasing a subscription, you agree to the pricing and billing terms presented at the time of purchase.
- Subscriptions automatically renew unless cancelled before the renewal date
- All fees are non-refundable except as required by applicable law or as expressly stated at the time of purchase
- We reserve the right to change subscription pricing with reasonable advance notice. Price changes will not affect your current billing period.
To cancel your subscription, visit your account settings or contact us at the address in Section 14.
7. Intellectual Property
All content, software, branding, trademarks, and materials comprising the Service are owned by Habla AI or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any ownership right in the Service.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial learning purposes in accordance with these Terms.
You retain ownership of any content you submit to the Service (such as voice recordings or typed messages). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and analyze that content solely to provide and improve the Service, including in anonymized and aggregated form.
8. Third-Party Services
The Service integrates with third-party providers including Clerk, Convex, LiveKit, Deepgram, OpenAI, and Inworld AI. Your use of the Service may be subject to those providers' terms of service and privacy policies.
We are not responsible for the availability, accuracy, or conduct of any third-party service. Any issues with third-party integrations should be reported to us and we will work to resolve them on a best-effort basis.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HABLA AI AND ITS OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) USD $10.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL.
11. Termination
You may terminate your account at any time by contacting us. We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for violation of these Terms or for any other reason at our sole discretion.
Upon termination, your right to use the Service ceases immediately. Sections 7, 9, 10, 12, and 13 of these Terms will survive any termination.
12. Changes to These Terms
We may modify these Terms at any time. We will indicate the date of the most recent update at the top of this page. For material changes, we will provide notice via email or an in-app notification with at least 14 days' advance notice where practicable.
Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
13. Governing Law and Disputes
These Terms are governed by and construed in accordance with applicable law. Any dispute arising from or relating to these Terms or your use of the Service will first be attempted to be resolved through good-faith negotiation. If that fails, disputes shall be subject to binding arbitration or the exclusive jurisdiction of courts in the applicable venue.
You waive any right to participate in a class action lawsuit or class-wide arbitration against Habla AI.
